Welcome to CardMeeting.com. By using the CardMeeting service ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the CardMeeting.com service. CardMeeting.com may change these terms at any time without notice.
CardMeeting.com is a tool for long-distance collaboration. The Service allows multiple people to simultaneously manipulate index cards in a virtual workspace, called a CardMeeting. The connection is routed through servers maintained by CardMeeting.com. Workspace data is stored indefinitely on CardMeeting.com servers.
CardMeeting.com is pre-release software provided as a free service. It may contain defects that cause harm to your computer. You may experience data loss, interruptions in service, or disclosure of confidential data.
You understand and agree that the Service is provided "as is" and CardMeeting.com, its affiliates, suppliers and resellers expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement. CardMeeting.com, its affiliates, suppliers and Resellers make no warranty or representation, regarding the results that may be obtained from the use of the Service, or that the Service will meet any user's requirements. Use of the Service is at your sole risk. You will be solely responsible for any damage to you resulting from the use of the Service. The entire risk arising out of use or performance of the Service remains with you. You agree to indemnify, defend and hold harmless CardMeeting.com, its affiliates, officers, directors, employees, consultants, agents, suppliers and resellers from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys fees) arising from your use of the Service, your violation of this agreement or the infringement or violation by you or any other user of your account, of any intellectual property or other right of any person or entity. Without limiting the foregoing, the Service is not designed or licensed for use in hazardous environments requiring fail-safe controls, including without limitation operation of nuclear facilities, aircraft navigation/communication systems, air traffic control, and life support or weapons systems. Without limiting the generality of the foregoing, CardMeeting.com, its affiliates, suppliers and resellers specifically disclaim any express or implied warranty of fitness for such purposes.
We will not view the text on the cards of any CardMeeting that is password protected unless you ask us for support and provide the password.
We may collect information about usage, including but not limited to frequency of use and number of cards in a CardMeeting. We will not share personally-identifiable information with the public. We may share aggregate statistics with the public if they do not contain personally-identifiable information. We may share personally-identifiable information with CardMeeting.com associates as necessary to maintain and enhance CardMeeting.com.
We may ask you for a contact email. We will use this email to contact you regarding the CardMeeting.com service. We will not give away or sell your email unless required by law.
Each password-protected CardMeeting has one password ("Community Password") that is shared by all participants. If someone learns the Community Password, they could view your data using the service. You are solely responsible for controlling who knows the Community Password.
While we have taken reasonable precautions to prevent defects in CardMeeting.com password protection, CardMeeting.com may contain defects that allow the public to view CardMeetings that are password protected.
CardMeeting.com data is not encrypted. A malicious party could view your data as it is transmitted between users and the CardMeeting.com servers. Although we have taken reasonable precautions to secure the CardMeeting.com servers, a malicious party could break into the CardMeeting.com servers and view your data there.
We will provide at least two weeks notice and a way to download your data before intentionally deleting password-protected CardMeetings. We may delete empty CardMeetings without notice. We may delete public CardMeetings that we consider "junk" CardMeetings without notice. (The determination of whether a public CardMeeting is "junk" is solely at our discretion.)
CardMeetings are stored on a redundant disk array (RAID) that should help protect against data loss due to hardware failure. Nonetheless, we cannot ensure the availability of your data. We do not yet have backup procedures in place. In the event of a defect in CardMeeting, hardware failure, or human error, your CardMeeting could be destroyed or damaged without notice.
You may experience interruptions in service. We will attempt to limit intentional service interruptions to less than 15 minutes, but we may interrupt service for longer in some cases. We will not provide notice before interrupting service.
We will attempt to prevent unintentional service interruptions, but we cannot ensure the availability of the CardMeeting.com service. We do not yet have server monitoring or redundant servers. If the service fails, we may not know it.
To the maximum extent permitted by applicable law, in no event will CardMeeting.com or its affiliates, suppliers or resellers be liable for any special, incidental, indirect, exemplary or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss or damage) arising out of the use of or inability to use the Service, or the provision of or failure to provide technical or other support service, whether arising in tort (including negligence) contract or any other legal theory, even if CardMeeting.com, its affiliates, suppliers or Resellers have been advised of the possibility of such damages. In any case, CardMeeting.com's, its affiliates', suppliers' and Resellers' maximum cumulative liability and your exclusive remedy for any claims arising out of or related to this Agreement will be limited to the amount actually paid by you for the Service (if any) in the previous twelve (12) months. Because some states and jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to you.
This Agreement shall be governed by and construed under the laws of the State of Oregon, U.S.A., as applied to agreements entered into and to be performed in Oregon by Oregon residents. The parties consent to the exclusive jurisdiction and venue of the courts located in and serving Portland, Oregon.
This Agreement embodies the entire understanding and agreement between the parties respecting the subject matter of this Agreement and supersedes any and all prior understandings and agreements between the parties respecting such subject matter. CardMeeting.com may change the terms of this Agreement at any time by posting modified terms on its website.
